How to complete the exam of European Company Law?

Dear students,

as after the publication of the results of the intermediate test I am receiving several requests for information regarding the completion of the exam of European Company Law, I am here summing up the main issues.

 

1. Students who passed the intermediate exam (i.e.: mark 10/22 or above) and are happy with the mark they received so far

If not individually agreed otherwise, they will write a short summary on selected readings, with an additional personal reflection (2.000 to 3.000 words overall, plus bibliography, if they will study additional material, too). The summary will be focused on 4 papers overall: they must include Chapter 1 of Sjåfjell B., Bruner C.M. (eds); The Cambridge Handbook of Corporate Law, Corporate Governance and Sustainability; Cambridge University Press Cambridge; 2019 and Janet Dine’s "The abuse of Company Groups"; in Birkmose H.S., Neville M. & Engsig Sørensen K. (eds); Abuse of Companies; Kluwer Law International Alphen Aan Den Rijn; 2019, plus two more Chapters from Sjåfjell B., Bruner C.M. (eds); The Cambridge Handbook of Corporate Law, cited above, to be freely chosen among those made available on the course’s website.

The summary will give up to 10 points.

N.B.: The attending students interested in completing the exam by this way have to submit the summary by February 2024, according to the timetable below, based on when they want their exam to be recorded (N.B.: the students have to register for the exam in the desired session via studenti.unimc.it), in case of success.

  • session 1: grade recorded on 11.12.2023, with summary submission on part II by 4.12.2023
  • session 2: grade recorded on 15.1.2024, with summary submission on part II by 8.1.2024
  • session 3: grade recorded on 5.2.2024, with summary submission on part II by 29.1.2024
  • Just for last year and Erasmus+ students, also the second February session is available, so session 4: grade recorded on 26.2.2024, with summary submission on part II by 19.2.2024)

After correcting the summary I will contact the student, before the day of registration of the grades, to communicate the proposed mark.

Should the overall mark be below 18/30, the student will have to sit for the exam according to the usual rules, as stated on the course's website (three open questions on the entire programme). The same happens in case the student decides to reject the grade, or if they do not submit the summary in due time.

 

2. Students who passed the intermediate exam (i.e.: mark 10/22 or above) but are not happy with the mark they received

They will not prepare the summary and will only sit for the exam according to the general rules. A short notice via email regarding the intention not to accept the mark, and therefore to abandon the attending-student examination scheme would be greatly appreciated.

 

3. Students who did not pass the intermediate exam (i.e.: mark below 10/22)

They will not prepare the summary and will only sit for the exam according to the general rules.

 

4. Non attending students – general rules

Students shall sit a 60 mins final written examination, closed-book style. The answers are to be provided in English language.

The examination consists in two open-ended questions on Part I, plus one open-ended question on part two.

Assessment will consider:

a) understanding and knowledge of the abovementioned topics (40%)

b) ability to apply knowledge to actual cases (35%)

c) ability to link different topics (15%)

d) autonomy of judgement and critical thinking (10%)
